This Non-Disclosure Agreement ("Agreement") is entered into between Clect Cast ("Disclosing Party") and the registered user ("Receiving Party") of clectcast.com ("Platform") as of the date of the user's registration on the Platform.

1) Purpose
The purpose of this Agreement is to protect confidential and proprietary information disclosed by the Disclosing Party to the Receiving Party during the use of the Platform, including but not limited to casting opportunities, business operations, and other sensitive information ("Confidential Information").

2) Confidential Information
- **Definition:** Confidential Information includes all information disclosed by the Disclosing Party to the Receiving Party, in any form, that is not generally known to the public.
- **Exclusions:** Confidential Information does not include information that:

- Is or becomes publicly available through no fault of the Receiving Party.
- Is already in the Receiving Party’s possession without obligation of confidentiality.
- Is independently developed by the Receiving Party without use of the Disclosing Party’s

Confidential Information.
- Is obtained from a third party without breach of any obligation of confidentiality.

3) Obligations of Receiving Party
- **Non-Disclosure:** The Receiving Party agrees not to disclose, publish, or disseminate Confidential Information to any third party without the prior written consent of the Disclosing Party.
- **Use of Confidential Information:** The Receiving Party agrees to use the Confidential Information solely for the purposes related to their activities on the Platform.
- **Protection of Confidential Information:** The Receiving Party agrees to take all reasonable measures to protect the confidentiality and avoid unauthorized use of the Confidential Information.

4) Term
This Agreement shall remain in effect for as long as the Receiving Party is registered on the Platform and for a period of 2 years thereafter.

5) Return or Destruction of Confidential Information

Upon termination of the Receiving Party’s registration or upon request by the Disclosing Party, the Receiving Party shall promptly return or destroy all copies of Confidential Information.

6) No License
Nothing in this Agreement shall be construed as granting any rights to the Receiving Party, by license or otherwise, to any of the Disclosing Party’s intellectual property or Confidential Information.

7) Legal Remedies
The Receiving Party acknowledges that any unauthorized disclosure or use of Confidential Information may cause irreparable harm to the Disclosing Party, and therefore, agrees that the Disclosing Party shall be entitled to seek injunctive relief in addition to any other legal remedies.

8) Governing Law
This Agreement shall be governed by and construed in accordance with the laws of New York.

9) Entire Agreement
This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings with respect to the subject matter.

10) Amendments
This Agreement may only be amended in writing signed by both parties.
